Job overview and responsibilities

The Counsel - Commercial position will serve as a commercial contract attorney for United's in-house legal department. This position provides legal counsel and guidance for United on all aspects of Commercial transactions and related legal matters, but primarily focusing on supplier agreements.

  • Work with the business and procurement team members as well as United management on all aspects of commercial contracts, including the preparation, review and negotiation of supplier and commercial related agreements

  • Partner with and counsel relevant internal business clients as they negotiate supplier and other commercial agreements; negotiate legal terms with third party attorneys and draft legal provisions

  • Supervise and manage outside counsel in providing legal advice in the negotiation of contracts matters

  • Develop standard contract forms and provisions

  • Provide training to internal business clients on contract issues, procurement legal issues and related regulations

Required

  • Bachelor’s Degree and Doctor of Jurisprudence Degree, member in good standing of the bar in any jurisdiction of the United States and, within a reasonable period of time, authorized to practice law in-house for United in Illinois

  • Basic knowledge of all relevant aspects of commercial and supplier transactions and contract related legal matters

  • Excellent communication skills and problem-solving abilities

  • Ability to work in a team environment with all levels of employees across a number of cross-functional areas while demonstrating a high level of emotional intelligence are key

  • Ability to achieve and maintain credibility, and develop strong working relationships with colleagues and business clients

  • Ability to work on multiple projects of various complexity while juggling competing demands and priorities

  • Very strong emphasis and record of client service

  • Counseling and transactional experience advising on commercial and supplier transactions and contract related legal matters

  • Experience negotiating, drafting and advising on supplier and other commercial agreements

  • Domestic Travel - 5%

  • Must be legally authorized to work in the United States for any employer without sponsorship

  • Successful completion of interview required to meet job qualification

  • Reliable, punctual attendance is an essential function of the position

Preferred

  • Experience and knowledge of contracts law in the commercial transaction area, including preparation, review and negotiation of supplier and commercial related agreements, as well as experience evaluating contract and business risk and providing counsel to the business team

  • Law firm experience

  • At least five years of practicing law in commercial transactions and contract related legal matters

  • Significant experience with IT supplier agreements
